    Payment Terms
    Fees for purchased subscriptions are paid in full at the start of the subscription term based on net 30-day payment terms. Alternative payment terms may be possible on an exception basis at the sole discretion of Sumo Logic. Incremental uplift charges are applied up to 30% above the base subscription + deployment region uplift calculations.

    Sumo Logic Renewal Pricing Policy
    As in all aspects of our business, Sumo Logic prioritizes transparency and fairness when it comes to our renewal pricing policy, taking into account the continual product enhancements, investment in research and development, and escalating cost of services. Unless otherwise separately agreed to in writing by Sumo Logic, at the end of a customer's current Service Period, the net annual Subscription Service Fees shall increase by 12% for a 1-year renewal and by 9% per year for a 2-year (or greater) renewal.

  2. Definitions

    1. Eligible Service Plans:

      Eligible Service Plans” include:

      1. Essentials;
      2. Enterprise Operations;
      3. Enterprise Security; and
      4. Enterprise Suite.
    2. Product Variables:

      Product Variable(s)” include:

      1. Continuous GB Ingest;
      2. GB Storage;
      3. Metrics;
      4. Tracing;
      5. Frequent GB Ingest;
      6. Infrequent GB Ingest;
      7. Infrequent GB Storage;
      8. Infrequent Search; and
      9. Cloud SIEM Enterprise.

      NOTE: Product Variable(s) vary based on Eligible Service Plan type.

    3. Deployment Regions:

      Multiple SaaS Service deployment regions (each, a “DR”) are available for Customer to choose from.

      Available DRs include:

      1. United States of America;
      2. United States of America (Federal);
      3. Montreal, Canada;
      4. Dublin, Ireland;
      5. Frankfurt, Germany;
      6. Sydney, Australia;
      7. Tokyo, Japan; and
      8. Seoul, Republic of Korea.

      Individual performance, optimization, and regulatory compliance obligations should be carefully considered prior to selecting a DR.

      Credit(s) (defined below) may be subject to uplifted Credit Burn Rate(s) based on the DR selected by Customer.

    4. Credit:

      1. A “Credit” means a pre-paid unit of value purchased by Customer from Sumo Logic which is consumed: (i) by Customer’s use of the SaaS Services; (ii) at the Credit Burn Rate(s), and for purposes of, enabling Product Variable specific UOM(s).
      2. A “Global Credit” means a Credit consumable in any DR that is not subject to uplifted Credit Burn Rate(s).
    5. Unit of Measure:
      Generally, a unit of measure (“UOM”) means:

      1. Gigabyte (“GB”);
      2. Scanned Gigabyte (“Scanned GB”); or
      3. Average Data Points per Minute ingested by the Services per Customer OrgID (“DPM”).

      However, the definition for each UOM may vary based on the specific Product Variable it is being applied to. Detailed definitions for all Product Variable specific UOM(s) are provided in the Product Variables and Credit Burn Rates section below.

    6. Credit Burn Rate:

      1. Credit Burn Rate” means the number of Credits required to complete a Product Variable specific UOM.
      2. Credit Burn Rate(s) are set forth in the applicable Customer Order Form(s) and Credit Burn Rate utilization is available for review (and monitoring) via the “Admin” section of the SaaS Services by navigating to the “Account” page under the “Account Overview” tab.

      For GB Storage, “GB” is more particularly defined as a gigabyte of log data stored in the SaaS Services per OrgID.

      Example: For GB Storage, ingesting 10GB/day for 12-months and retaining that data for thirty (30) calendar days requires approximately 5,475 Credits (i.e. (10GB/day x 30 days retention) x (365 days) x (.05 Credits) = 5,475 Credits).

      For Infrequent Search, “GB Scanned” is more particularly defined as a gigabyte scanned while running search queries against log data stored using Infrequent Log Storage.

      Example: For Infrequent Search, 1,000GB/day of Infrequent Logs being scanned at ingest twice daily for 12-months requires 730,000 credits (1,000GB of Infrequent GB Ingest scanned daily = 1,000 x 2 Credits/day (2,000 Credits) x (356 days) = 730,000 Credits).

      For Infrequent Search, “Data Scans” are measured in 5-minute intervals beginning every day at 12AM (Pacific Standard Time). For any Data Scan (or portion of a Data Scan) less than 5-minutes, the amount of data scanned will be calculated using a normalized distribution formula.

      Example: For a 3-minute Data Scan (or portion of a Data Scan), the total number of data scanned will be 3/5 (or 60%) of the total data scanned in that particular 5-minute interval.

      Example: For Cloud SOAR, five (5) Named Users with a Daily Named User Credit Utilization of 274 Credits for 12-months requires 500,050 Credits (5 Named Users x 274 Total Daily Credit Utilization) x (365 days) = 500,050 Credits).

      Example: For GB Storage, ingesting 10GB/day for 12-months and retaining that data for thirty (30) calendar days requires approximately 5,475 Credits (i.e. (10GB/day x 30 days retention) x (365 days) x (.05 Credits) = 5,475 Credits).

    Example: For Flex Log Storage, ingesting 9.9GB/day and enriched with 0.1 GB/day resulting in 10 GB/day for 12 months and retaining that data for thirty (30) calendar days requires approximately 5,475 Credits (i.e. (10GB/day x 30 days retention) x (365 days) x 0.05 (Credits) = 5,475 Credits)

    For Flex Log Upfront Search, a “GB Scanned” is more particularly defined as a gigabyte scanned while running search queries against log data stored using Flex Log Storage.

    Example: For Flex Upfront Search, 1,000GB/day of Flex Logs being scanned at ingest once a day for 12 months requires 3,650,000 credits (1,000GB of log GB Ingest scanned daily = 1,000 x 10 Credits/day (10,000 Credits) x (356 days) = 3,650,000 Credits).

    For Flex Log Metered Search, a “GB Scanned” is more particularly defined as a gigabyte scanned while running search queries against log data stored using Flex Log Storage. Flex Log Metered Search activates once all Log Upfront search capacity is depleted and continues to consume search capacity at the metered rate until additional Log Upfront Search capacity is added to the SaaS subscription Service.

    Example: For Flex Metered Search, 1,000GB/day of Flex Logs being scanned at ingest once a day for 12 months requires 3,650,000 credits (1,000GB of log GB Ingest scanned daily = 1,000 x 20 Credits/day (20,000 Credits) x (356 days) = 7,300,000 Credits).

    For Flex Search, data Scans are measured in 5-minute intervals beginning every day at 12 AM (Pacific Standard Time). For any data scan less than 5 minutes, the amount of data scanned will be calculated using a normalized distribution formula.

    Example: For a 3-minute Data Scan the total number of data scanned will be 3/5 (or 60%) of the total data scanned in that particular 5-minute interval.

  5. Data Forwarding:
